1. Definitions

In these Terms and Conditions:

• "Parseliq," "we," "us," "our" refers to Parseliq, a consulting practice based in Melaka, Malaysia
• "Services" refers to AI integration consulting services including infrastructure reviews, educator framework development, and modernisation programmes
• "Client," "you," "your" refers to the individual or organisation engaging our services
• "Engagement" refers to the provision of specific services under an agreed scope
• "Deliverables" refers to reports, frameworks, documentation, or other outputs specified in an engagement

2. Acceptance of Terms

By contacting Parseliq, engaging our services, or using our website, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our services or website.

You must be at least 18 years of age and have the legal capacity to enter into agreements to use our services.

3. Service Description

Parseliq provides professional consulting services in the following areas:

• AI-Ready Data Infrastructure Reviews: Technical assessments of data infrastructure capabilities for AI workloads
• AI Competency Framework for Educators: Development of structured competency frameworks for educational institutions
• AI-Driven Organisational Modernisation Programmes: Comprehensive modernisation support addressing technology, people, and processes

Specific service scopes, deliverables, timelines, and fees are defined in individual engagement agreements.

4. Engagement Process

4.1 Initial Consultation

Engagements typically begin with discussions to understand client needs and determine service fit. These initial consultations do not constitute a formal engagement.

4.2 Engagement Agreement

Services are provided under written engagement agreements specifying scope, deliverables, timeline, fees, and terms. Work commences only after agreement execution.

4.3 Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Make key personnel available for interviews, workshops, and alignment sessions
• Respond to requests for information or clarification in a timely manner
• Designate appropriate stakeholders for engagement participation

5. Payment Terms

5.1 Fees

Service fees are specified in individual engagement agreements. Published fees on our website are indicative and subject to confirmation in engagement agreements.

5.2 Currency

All fees are quoted in Malaysian Ringgit (MYR) unless otherwise specified.

5.3 Payment Schedule

Payment terms are defined in engagement agreements. Typical arrangements include upfront deposits and completion payments.

5.4 Late Payment

Late payments may incur interest charges as specified in engagement agreements and permitted under Malaysian law.

6. Intellectual Property

6.1 Parseliq IP

Parseliq retains all intellectual property rights in methodologies, templates, frameworks, and tools used to deliver services. Clients receive a limited, non-exclusive license to use deliverables for internal business purposes.

6.2 Client Information

Clients retain all intellectual property rights in information and materials provided to Parseliq. Parseliq receives a limited license to use such information solely for delivering agreed services.

6.3 Deliverables

Upon full payment, clients receive ownership of customised deliverables prepared specifically for them, subject to limitations on use of Parseliq methodologies and tools.

7. Confidentiality

Parseliq maintains strict confidentiality regarding client information. We do not disclose client information except as required by law or with explicit client consent.

Confidentiality obligations are detailed in engagement agreements and continue beyond engagement completion.

Clients similarly agree to maintain confidentiality regarding Parseliq methodologies, tools, and proprietary approaches disclosed during engagements.

8. Disclaimers

8.1 Professional Services

Our services provide professional consulting guidance based on information available and assessment methodologies. We do not make claims of specific outcomes or results.

8.2 Technical Assessments

Infrastructure assessments reflect our technical evaluation based on information provided and systems examined. Actual AI implementation results depend on numerous factors beyond our control.

8.3 Implementation

We provide recommendations and roadmaps but do not directly implement technical solutions unless separately agreed. Implementation success depends on client execution and circumstances.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, Parseliq's total liability for any claims arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim.

We shall not be liable for indirect, consequential, or incidental damages including lost profits, business interruption, or data loss.

10. Termination

10.1 By Client

Clients may terminate engagements by providing written notice. Clients remain responsible for fees for work completed and reasonable wind-down costs.

10.2 By Parseliq

Parseliq may terminate engagements if clients fail to meet payment obligations, provide required information, or breach material terms.

10.3 Effect of Termination

Upon termination, Parseliq will deliver work completed to date. Confidentiality and intellectual property provisions survive termination.

11. Dispute Resolution

Disputes should first be addressed through good faith negotiations between the parties. If resolution cannot be achieved, disputes shall be resolved through mediation in Malaysia before proceeding to formal legal action.

These Terms are governed by the laws of Malaysia. Any legal proceedings shall be conducted in Malaysian courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with engagement agreements, constitute the entire agreement between parties regarding our services.

12.2 Severability

If any provision is found unenforceable, remaining provisions continue in effect.

12.3 Assignment

Clients may not assign engagement agreements without our written consent. We may assign agreements with notice to clients.

12.4 Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, pandemics, or government actions.

13. Changes to Terms

We may update these Terms and Conditions periodically. Updated terms will be posted on our website with a revised "Last Updated" date. Continued use of services following changes indicates acceptance of updated terms. Active engagements continue under terms in effect when engagement agreements were executed.
